(“we”, “us”, “our”, “Company”), you (“you”, “your”, “Client”) agree to be bound by these Terms & Conditions (the “Terms”). If you do not agree to these Terms, you must not use the Site or the services.
1. Definitions

“Service(s)” means the logistics, delivery, freight forwarding, warehousing, fulfilment and related services provided by us.

“Shipment” means any goods, parcels, cargo, items or freight booked for pick-up, transit or delivery under our Service.

“Quote” means the price or rate we offer for the Service, whether online, by email or verbally, subject to confirmation.

“Carrier” means any third-party transporter, trucking company, courier, subcontractor or agent used by us to move or handle your Shipment.

“Client Materials” means any packaging, labels, instructions, documentation or items you provide in connection with your Shipment.
2. Scope of Services
We undertake to provide the Service in accordance with the Quote and these Terms. You agree to provide accurate information regarding your Shipment (including size, weight, description of contents, origin, destination, special handling instructions) and to comply with our instructions.
We may engage Carriers, subcontractors or other third-party service providers to perform part or all of the Service. Unless otherwise stated in writing, we act as principal in contracting the Service for you, or as agent on your behalf, as applicable.
3. Booking, Rates & Payment

A binding contract is created when you accept the Quote (in writing or electronically) and we accept your booking.

Rates are based on the information you supply. If we later find the Shipment differs materially (weight, size, route, nature of goods, additional stops) we may revise the rate or apply surcharges.

Unless otherwise agreed, payment is due within [Insert Number] days from invoice date. We may require advance payment or deposit before pick-up.

If payment is late, we may charge interest at a rate of [Insert %] per annum (or the maximum permitted by law) and suspend further services until payment is received.
4. Client’s Responsibilities
You warrant and agree that you will:

Have full legal right to ship the goods; ensure they are properly packaged, labelled, and comply with all applicable laws, regulations, customs requirements and safety standards.

Provide correct pickup/delivery addresses, accurate description of contents, value of goods, shipping instructions, and special handling requirements.

Pay all duties, taxes, customs fees, tariffs or other charges applicable to the Shipment.

Provide any necessary export/import licences, clearances, instructions and documentation.

Indemnify and hold us and our Carriers harmless from claims, liabilities, losses, fines or penalties arising from your failure to comply with these responsibilities.
5. Carrier and Third-Party Liability

We select Carriers with reasonable care, but unless otherwise agreed, the Carrier and not we, is responsible for any loss or damage in transit. We act as either principal or agent, depending on the arrangement.

Our liability for loss, damage or delay is limited to the lesser of: (i) the value declared in writing by you and accepted by us; or (ii) [Insert limit — e.g., USD $0.50 per kilogram or USD $100 per shipment] unless otherwise agreed in writing.

We shall not be liable for indirect, special, incidental, punitive or consequential damages (including loss of profits, business interruption, loss of goodwill) even if we were advised such damages might arise.

6. Insurance
We recommend that you arrange your own cargo insurance to cover the full value of your shipment. If you purchase insurance through us and it is recorded in writing, the terms and conditions of the insurance policy will prevail over these Terms to the extent of any inconsistency.
7. Tracking, Access & Information
We offer tracking services where available. However, the availability and accuracy of tracking is contingent on the Carrier’s network and technology. We do not warrant uninterrupted tracking or real-time updates. You agree not to rely solely on tracking systems without maintaining independent verification if required.
8. Delivery Time & Delays

Any delivery or transit time quoted is an estimate only. Time is not of the essence unless expressly agreed in writing.

We shall not be liable for delays caused by circumstances beyond our control (see Force Majeure).

If a delay occurs, we will use reasonable efforts to notify you and mitigate the delay; however, our sole obligation is to continue to attempt fulfilment.
9. Force Majeure
We will not be responsible for failure or delay in performance resulting from events beyond our reasonable control, including but not limited to acts of God, weather events, road closures, labour disputes, government acts or regulations, terrorism, civil unrest, carrier insolvency, or other similar events. In such cases, we will use reasonable efforts to resume performance but shall have no further liability.
10. Intellectual Property
All content on the Site (logos, trademarks, graphics, text) are owned or licensed by us. You may not reproduce, distribute, modify, display or otherwise use any our intellectual property without our prior written permission.
11. Confidentiality
Both parties agree to keep confidential all non-public information disclosed in connection with the Service and not to use such information for any purpose other than fulfilling the Service, unless required by law.

13. Modification of Terms

We may terminate or suspend service if you breach these Terms, become insolvent, fail to pay, or we reasonably believe that providing the Service may expose us to liability or regulatory risk. Termination will not affect any accrued rights or obligations.
19. Indemnification
You agree to indemnify, defend and hold harmless the Company, its affiliates, officers, employees, agents and subcontractors from any and all claims, liabilities, losses, damages, costs or expenses (including legal fees) arising from your breach of these Terms, your negligence, or your violation of applicable laws.
